Terms of Service

These Terms of Service (“Terms”) are a legal agreement between you and Femologist Inc. (“Femologist,” “we,” “us,” or “our”) governing your use of femologist.com (the “Site”) and all products and services we offer. Please read them carefully before placing an order or creating an account.

By using our Site or purchasing our products, you agree to these Terms. If you do not agree, please do not use our Site or services. If you have questions about anything in these Terms, contact us at legal@femologist.com before proceeding.

These Terms should be read alongside our Privacy Policy, which explains how we collect and use your information, and our Cookie Policy. Together, these documents form the complete agreement between you and Femologist.

1. Your Account

You must be at least 18 years old to create an account or make purchases on our Site. By creating an account or placing an order, you represent that you meet this age requirement and that the information you provide is accurate, current, and complete. You are responsible for keeping your account information up to date.

You are responsible for maintaining the confidentiality of your account password and for all activity that occurs under your account. You should choose a strong, unique password and should not share it with anyone. If you suspect unauthorized access to your account, please contact us at support@femologist.com immediately. We will not be liable for losses resulting from unauthorized account access that results from your failure to safeguard your credentials.

If you access Femologist through a health care provider’s referral link, discount code, or Supplement Dispensary Portal invitation, your account may be tagged with your provider’s identity. By purchasing through a provider referral, you acknowledge that your purchase history may be shared with your referring provider. You may opt out of this data sharing at any time by contacting privacy@femologist.com. Opting out will not affect your ability to purchase products or access your account.

We reserve the right to suspend or terminate your account if you violate these Terms, provide false information, engage in fraudulent activity, or use our Site or services in any way that could cause harm to Femologist, other customers, or third parties. You may close your account at any time by contacting support@femologist.com. Closing your account does not extinguish any outstanding payment obligations.

2. Orders and Payment

2.1 Placing Orders

When you submit an order on our Site, you are making an offer to purchase the products in your cart at the prices displayed. We will send you an order confirmation email upon receipt of your order, but this confirmation is an acknowledgment that we received your order, not an acceptance of it. We accept your order, and a binding contract is formed, when we ship the products and send you a shipping confirmation.

We reserve the right to refuse or cancel any order at our discretion, including orders where we suspect fraudulent activity, where products are unavailable, or where pricing errors have occurred. If we cancel an order for which you have already been charged, we will issue a full refund to your original payment method.

2.2 Pricing and Taxes

All prices on our Site are displayed in US Dollars. Prices are subject to change at any time without notice, but changes will not affect orders we have already accepted. We make every effort to ensure pricing accuracy, but if a pricing error is discovered after your order is placed, we will contact you before processing and give you the option to proceed at the correct price or cancel for a full refund.

Applicable sales tax will be calculated and added to your order at checkout based on your shipping address and the tax laws of the relevant jurisdiction. You are responsible for any applicable taxes on your purchases.

2.3 Payment

Payment is due at the time your order is placed. We accept major credit and debit cards (Visa, Mastercard, American Express, Discover), and any other payment methods displayed at checkout. Payment processing is handled by our third-party processors (Shopify Payments, Stripe, and PayPal) who are responsible for the security of your payment information. We do not store your full payment card details on our systems.

By submitting a payment method, you represent that you are authorized to use it and that sufficient funds or credit are available. You authorize us to charge the payment method on file for all purchases, including recurring subscription charges as described in Section 3.

3. Subscriptions

Please read this section carefully. By signing up for a subscription, you authorize us to charge your payment method on a recurring basis until you cancel. Cancellation instructions are in Section 3.5.

3.1 How Subscriptions Work

We offer subscriptions that allow you to receive selected products on a recurring delivery schedule (monthly, bi-monthly, or quarterly depending on your selection). Subscriptions are managed through Recharge, our subscription platform. When you subscribe, you will be asked to confirm the products, delivery frequency, and billing amount before completing your order.

3.2 Recurring Billing

By subscribing, you authorize Femologist to charge your payment method automatically on each billing date for the amount disclosed at the time of signup. Your first charge occurs when you subscribe. Subsequent charges occur on the billing date corresponding to your delivery schedule. We will send you a reminder email 3 to 5 days before each billing date.

Subscription pricing is locked in at the rate applicable when you subscribe. If we change subscription prices, we will give you at least 30 days’ written notice before the new price applies to your subscription. You may cancel before the new price takes effect without penalty.

3.3 Modifying Your Subscription

You may modify your subscription at any time through your account dashboard, including changing products, adjusting your delivery frequency, skipping an upcoming delivery, or updating your payment method or shipping address. Modifications must be made at least 48 hours before your next scheduled billing date to take effect for that cycle. Modifications made within 48 hours of billing will apply to the following cycle.

3.4 Pausing Your Subscription

You may pause your subscription for up to 90 days through your account dashboard. No charges will be processed while your subscription is paused. Your subscription will resume automatically at the end of the pause period unless you cancel or extend the pause. You can reactivate at any time during the pause period.

3.5 Cancelling Your Subscription

You may cancel your subscription at any time with no cancellation fee. To cancel, log in to your account, navigate to your subscription dashboard, and follow the cancellation steps. You may also cancel by emailing support@femologist.com or calling 1-888-835-6520. Cancellation requests must be submitted at least 48 hours before your next billing date to avoid being charged for the upcoming cycle.

If a billing cycle has already processed before your cancellation, you will receive that shipment and will not be charged again. We do not issue refunds for a billing cycle that has already been processed unless the products are defective or incorrect, as described in Section 5.

3.6 Failed Subscription Payments

If a subscription payment fails, we will attempt to reprocess the charge up to three times over a 10-day period and will notify you by email to update your payment information. If payment cannot be collected after these attempts, your subscription may be paused or cancelled. You remain responsible for any unpaid charges.

3.7 Subscription Benefits and Discounts

Subscribers receive discounted pricing as disclosed at the time of signup, along with any other benefits we make available to subscribers from time to time. Subscription discounts cannot be combined with single-use promotional codes unless explicitly stated. Benefits are subject to change with 30 days’ notice.

4. Shipping and Delivery

4.1 Processing and Dispatch

We aim to process and dispatch orders within 1 to 2 business days of receiving them. During promotional periods, sales, or high-demand seasons, processing may take up to 5 business days. Subscription orders are dispatched on or around your scheduled billing date. If any item in your order is unavailable at the time of processing, we will contact you to discuss options.

4.2 Shipping Rates and Timeframes

Shipping rates and estimated delivery timeframes are displayed at checkout based on your shipping address and selected shipping method. Delivery timeframes are estimates provided by the carrier and are not guaranteed. We are not responsible for carrier delays, weather events, or other circumstances outside our control.

Free shipping thresholds and subscription shipping benefits, where offered, are subject to the terms displayed on our Site at the time of purchase. We currently ship to addresses within the United States. International shipping availability and rates, where offered, are displayed at checkout.

4.3 Tracking and Delivery Issues

You will receive a tracking number by email when your order ships. If tracking has not updated within 48 hours of your shipping confirmation, please contact us and we will investigate with the carrier. For orders marked as delivered by the carrier but not received, please first check with neighbors and building management, then contact us within 7 days of the marked delivery date. We will do our best to assist but are not responsible for packages confirmed as delivered by the carrier.

If your order arrives damaged, please document the damage with photographs and contact us at support@femologist.com within 48 hours of delivery. We will work with you to arrange a replacement or refund.

5. Returns and Refunds

5.1 Our Return Policy

We want you to be satisfied with your Femologist purchase. If you are not, you may return eligible products within 30 days of delivery for a refund, subject to the conditions below.

To be eligible for a return, products must be unused, unopened, and in their original packaging. Due to the nature of our products, we cannot accept returns of dietary supplements, vitamins, or any ingestible products that have been opened, used, or that show signs of tampering, regardless of how much product remains. We also cannot accept returns on products marked Final Sale, gift cards, or any downloadable or digital content.

5.2 How to Request a Return

To initiate a return, email returns@femologist.com within 30 days of delivery with your order number and reason for return. We will review your request and, if approved, provide a Return Authorization number and return shipping instructions. Returns sent without a Return Authorization number may not be processed. Return shipping costs are the customer’s responsibility unless the return is due to a defective or incorrect item, in which case we will provide a prepaid return label.

5.3 Refunds

Once we receive and inspect your return, we will process an approved refund within 5 to 7 business days to your original payment method. Original shipping charges are non-refundable unless the return is due to our error. Please note that your bank or card issuer may take additional time to post the refund to your account.

5.4 Defective or Incorrect Items

If you receive a product that is defective, damaged in transit, or different from what you ordered, please contact us at support@femologist.com within 7 days of delivery with your order number and photographs of the issue. We will send a prepaid return label, and upon receiving the item we will ship a replacement or issue a full refund including original shipping, at your preference.

5.5 Subscription Returns

Subscription orders follow the same return policy described above. Returning a subscription order does not automatically cancel your subscription. If you wish to cancel your subscription, please follow the steps in Section 3.5.

6. Our Products

6.1 Product Descriptions

We work to ensure product descriptions, images, and specifications on our Site are accurate, but we do not warrant that all descriptions are error-free, complete, or current. Product images are for illustrative purposes and may not perfectly represent the actual product in terms of color, size, or packaging. If you receive a product that materially differs from its description, please contact us and we will make it right.

6.2 Health Product Disclaimers

Our products are dietary supplements. They are not intended to diagnose, treat, cure, or prevent any disease. These statements have not been evaluated by the Food and Drug Administration.

Our supplements are intended to support general health and wellness as part of a balanced lifestyle. Individual results vary and are not guaranteed. Before starting any new supplement, you should consult with a qualified health care provider, particularly if you are pregnant or nursing, have a diagnosed medical condition, take prescription or over-the-counter medications, or have known food allergies or sensitivities.

Some products may contain allergens including tree nuts, soy, dairy, gluten, or shellfish, or may be manufactured in facilities that process these ingredients. Always read product labels carefully before use. Do not exceed recommended serving sizes. If you experience any adverse reaction, discontinue use and consult a health care provider. Adverse reactions may also be reported to the FDA at: 1-800-FDA-1088

Our products are manufactured in FDA-registered, GMP-certified facilities and are subject to quality testing. Notwithstanding this, supplements are not subject to pre-market approval by the FDA in the same way as prescription medications, and we encourage you to make informed decisions about supplement use with the guidance of a health care professional.

6.3 California Proposition 65

6.3 California Proposition 65

6.4 Product Availability

All products are subject to availability. We reserve the right to discontinue any product or limit purchase quantities without notice. If a product becomes unavailable after you have placed an order, we will contact you and offer a substitution, backorder, or full refund.

7. Product Reviews and User Content

We invite customers to submit product reviews through our review platform, powered by Judge.me. Reviews help the Femologist community make informed decisions, and we take their integrity seriously.

When you submit a review, you agree that it reflects your honest, personal experience with the product. You must not submit reviews for products you have not personally used; post false or misleading content; include spam, promotional links, or competitor references; use offensive or abusive language; or make specific medical claims or disease cure statements beyond your personal experience. Reviews may be submitted in exchange for a loyalty points incentive, but this incentive does not influence our editorial moderation and all incentivized reviews are disclosed as such.

All reviews are moderated before publication. We may decline to publish reviews that violate these guidelines, but we do not alter the substantive content of reviews, and we do not suppress negative reviews for reasons of product criticism alone. By submitting a review, you grant Femologist a perpetual, royalty-free, worldwide license to display, reproduce, and use your review content, including in marketing materials. 8. Femologist Rewards Program

Our loyalty rewards program is powered by Smile.io and allows you to earn points on purchases and other qualifying activities, which can be redeemed for discounts on future orders. Participation is free and automatic upon account creation.

Points are earned on the net product price of qualifying purchases, excluding taxes, shipping, and any amount paid with gift cards or rewards. Points are not earned on gift card purchases. Points earned on a purchase will be reversed if that purchase is returned or refunded. You may redeem points at checkout subject to the minimum redemption thresholds displayed in your account. One redemption can be made per order unless otherwise stated, and rewards cannot be combined with all promotional offers. Restrictions will be noted at checkout.

Points expire 12 months after they are earned. We will email you before points are due to expire. Expired points cannot be reinstated. Points have no cash value and cannot be transferred, sold, or exchanged outside of the program. Upon account closure, any unused points are forfeited.

We reserve the right to modify earning rates, redemption values, tiers, and program benefits at any time with 30 days’ notice. If we discontinue the program entirely, we will provide reasonable advance notice and honor or convert outstanding points at a fair rate. We may suspend or terminate your participation in the program if we detect fraud, abuse of the referral system, creation of multiple accounts, or other violations of these Terms.

9. Intellectual Property

All content on the Femologist Site (including text, product descriptions, images, graphics, logos, video, user interface design, and software) is the property of Femologist Inc. or our licensors and is protected by copyright, trademark, and other intellectual property laws. “Femologist” and associated marks are our trademarks. Unauthorized use of our trademarks or branding is prohibited.

We grant you a limited, non-exclusive, non-transferable license to access and use our Site for personal, non-commercial purposes, meaning you can browse, read, and purchase, but you may not copy, reproduce, modify, distribute, publicly display, or create derivative works from our content without our prior written consent. You may not use automated tools to scrape or access our Site, and you may not frame or mirror our Site on another website.

If you believe any content on our Site infringes your copyright, please send a notice to legal@femologist.com with a description of the work claimed to be infringed, the location of the infringing content on our Site, your contact information, and a statement made under penalty of perjury that you are the rights owner or authorized to act on their behalf. We will investigate and remove infringing content where appropriate.

10. Disclaimers and Limitation of Liability

10.1 Site and Services Provided As-Is

Our Site and services are provided on an “as is” and “as available” basis without warranties of any kind, express or implied. We do not warrant that the Site will be uninterrupted, error-free, or free from viruses or other harmful components. We do not warrant that product information on the Site is complete or error-free, though we work to maintain accuracy.

10.2 Not Medical Advice

Content on our Site, including product descriptions, educational articles, and any wellness information, is for informational purposes only. It is not a substitute for professional medical advice, diagnosis, or treatment. Always consult a qualified health care provider with questions about your health. Do not disregard professional medical advice or delay seeking it because of something you read on our Site.

10.3 Limitation of Liability

To the maximum extent permitted by applicable law, Femologist Inc., its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of our Site, products, or services, including loss of profits, data, or goodwill, even if we have been advised of the possibility of such damages.

Our total liability to you for any claim arising out of or related to these Terms or your use of our products or services will not exceed the total amount you paid to us in the 12 months preceding the claim, or $100, whichever is greater.

These limitations do not apply to liability for death or personal injury caused by our negligence, liability for fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law. Some jurisdictions do not permit the exclusion or limitation of certain damages, so the above limitations may not apply to you in full.

10.4 Indemnification

You agree to indemnify and hold harmless Femologist Inc. and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your violation of these Terms, your use of our Site or products in a manner that violates applicable law, or any content you submit to our Site.

11. Dispute Resolution

This section contains an arbitration clause and class action waiver that affect your legal rights. Please read it carefully. You have the right to opt out of arbitration as described in Section 11.4.

11.1 Informal Resolution

Before initiating any formal dispute process, you agree to contact us first at legal@femologist.com with a description of the dispute and your desired resolution. We will make a good faith effort to resolve the matter informally within 30 days. Most concerns can be resolved quickly this way.

11.2 Binding Arbitration

If we cannot resolve a dispute informally, you and Femologist agree that the dispute will be resolved through binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in a court of law. The arbitrator will be a neutral third party and will have authority to award the same individual relief that a court could award. The arbitrator’s decision will be final and binding, subject to limited judicial review.

Arbitration will be conducted in San Diego County, California or by telephone or videoconference, at your election for claims under $10,000. For claims under $10,000, we will pay all AAA arbitration fees. For larger claims, fees will be allocated per AAA rules. If you prevail on the merits of a claim, we will reimburse reasonable legal fees you incurred.

Exceptions to arbitration: Either party may bring claims in small claims court if the claim qualifies. Either party may also seek emergency injunctive relief in a court of competent jurisdiction to prevent irreparable harm pending arbitration. Disputes about the validity, enforceability, or scope of this arbitration provision will be decided by a court, not an arbitrator.

11.3 Class Action Waiver

You and Femologist agree that all disputes will be resolved on an individual basis only. You may not bring or participate in any class action, collective action, or representative proceeding against Femologist, and Femologist may not bring such proceedings against you. The arbitrator may not consolidate claims of multiple parties and may not otherwise preside over any form of a representative or class proceeding. If this class action waiver is found to be unenforceable, the entire arbitration provision will be null and void.

11.4 Opt-Out of Arbitration

You have the right to opt out of the arbitration and class action waiver provisions by sending written notice to legal@femologist.com with “Arbitration Opt-Out” in the subject line within 30 days of first accepting these Terms. Your notice must include your name, the email address associated with your account, and a clear statement that you are opting out. If you opt out, disputes will be resolved in court under the governing law described in Section 11.5. Opting out does not affect any other aspect of these Terms.

11.5 Governing Law and Jurisdiction

These Terms are governed by the laws of the State of California, without regard to its conflict of law principles. If arbitration does not apply or is found unenforceable, you agree that disputes will be subject to the exclusive jurisdiction of the state and federal courts located in San Diego County, California, and you consent to personal jurisdiction in those courts.

11.6 Time Limitation on Claims

Any claim arising out of or related to these Terms or your use of our products or services must be filed within one year of the date the claim arose. Claims not filed within this period are permanently barred, to the extent permitted by applicable law.

12. General Provisions

12.1 Changes to These Terms

We may update these Terms at any time. When we make material changes, we will notify you by posting a notice on our Site and, where practical, by sending an email to the address associated with your account at least 14 days before the changes take effect. Changes to dispute resolution provisions will be notified 30 days in advance. Your continued use of our Site or services after changes take effect constitutes your acceptance of the updated Terms.

12.2 Force Majeure

We will not be liable for delays or failures in performance resulting from circumstances beyond our reasonable control, including natural disasters, acts of government, labor disputes, supply chain disruptions, public health emergencies, or internet or infrastructure outages. We will make reasonable efforts to minimize the impact of any such event and will communicate with affected customers as promptly as possible.

12.3 Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Femologist with respect to your use of our Site and services and supersede all prior agreements and understandings. In the event of a conflict between these Terms and any other policy or document, these Terms will control unless the other document expressly states otherwise.

12.4 Severability and Waiver

If any provision of these Terms is found to be invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and all other provisions will remain in full effect. Our failure to enforce any provision of these Terms at any time is not a waiver of our right to enforce it in the future.

12.5 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction, including in connection with a merger, acquisition, or sale of assets, provided that any successor is bound by these Terms.

12.6 Electronic Communications

By creating an account or making a purchase, you consent to receive electronic communications from us, including emails to your registered address and notices posted on our Site. These electronic communications satisfy any legal requirement that communications be in writing. You may manage your communication preferences through your account settings.

12.7 No Third-Party Beneficiaries

These Terms are for the benefit of you and Femologist only. Nothing in these Terms creates any right or remedy in any third party.
